Terms of Service

BridgeUP Systems, LLC ("BridgeUP," "we," "our," or "us") operates bridgeup.ai and provides a suite of AI-powered software and services designed to help home service businesses automate lead follow-up, manage customer communications, and improve operational efficiency. Our Services are built on and integrate with the GoHighLevel platform and other third-party tools.

Services may include, but are not limited to:

• Callback Certified™ Automation: Systems for missed-call text-back and speed-to-lead response, designed to contact inbound leads within 60 seconds.
• Voice AI: An automated, AI-powered phone answering and conversation service that handles inbound calls on your behalf.
• SMS & Email Automation: Automated follow-up sequences, appointment reminders, estimate follow-ups, and review requests.
• GoHighLevel CRM Setup & Management: Configuration, buildout, and ongoing maintenance of your CRM environment, pipelines, and workflows.
• AI Appointment Scheduling: Automated booking and calendar management integrated with your existing systems.

BridgeUP acts as a service provider, implementing and managing these systems on your behalf. You retain ownership and control over your customer data and are responsible for how you use the Services.

As a Client, you agree to:

• Provide accurate and truthful information during onboarding and for all system configurations.
• Use the Services only for lawful business purposes and in compliance with all applicable federal, state, and local laws and regulations.
• Secure and maintain the confidentiality of your account credentials for GoHighLevel and any other integrated platforms.
• Be solely responsible for the accuracy, legality, and quality of all data, scripts, call flows, and content you provide or approve for use in the Services ("Client Content").
• Promptly notify BridgeUP of any unauthorized use of your account or any other security breach.

You agree NOT to use the Services to:

• Send spam, unsolicited marketing messages, or any communication in violation of the TCPA, CAN-SPAM Act, or other applicable regulations.
• Engage in any harassing, defamatory, fraudulent, deceptive, or malicious activity toward your customers or any third party.
• Transmit any material that contains viruses, malware, or other harmful code.
• Attempt to reverse-engineer, disassemble, or gain unauthorized access to our systems, software, or intellectual property.
• Resell, sublicense, or otherwise transfer access to the Services to any third party without our express written consent.

Our Services facilitate automated communications with your customers. You acknowledge and agree that:

• You are the "sender" of all communications sent on your behalf through the Services, including automated calls, SMS messages, and emails.
• You are solely responsible for obtaining prior express written consent from your customers to receive automated phone calls, text messages, and emails, as required by the Telephone Consumer Protection Act (TCPA) and all other applicable laws.
• Your consent mechanisms must be legally compliant, clearly disclosed, and you must maintain auditable records of such consent.
• The Services include tools to manage opt-outs (e.g., responding to "STOP" for SMS). You are responsible for honoring all opt-out requests promptly and ensuring your systems reflect those preferences.

Service-Related Communications

By submitting a request through our Site and providing your contact information, you consent to receive service-related communications from BridgeUP, which may include phone calls, emails, and text (SMS) messages such as onboarding information, system updates, and billing notices.

• Message frequency varies.
• Message and data rates may apply.
• You may opt out of SMS communications at any time by replying STOP to unsubscribe, or HELP for assistance.
• Carriers are not liable for delayed or undelivered messages.
• Consent to receive text messages is not a condition of purchase.

By using our Services, you represent and warrant that you have obtained all necessary consents and will comply with all communication laws. You agree to indemnify BridgeUP from any claims, damages, or liabilities arising from your failure to do so.

• Subscription Fees: Services are provided on a subscription basis and are billed in advance according to the terms of your specific service agreement or order form.
• Payment: You agree to provide a valid payment method and authorize us to charge your subscription fees automatically on the billing date.
• Term & Renewal: Your subscription will automatically renew for successive periods unless terminated by either party in accordance with the service agreement.
• Non-Payment: We reserve the right to suspend or terminate your access to the Services for failure to pay applicable fees. Suspended accounts may result in loss of data and configurations.
• Refunds: All fees are non-refundable except as expressly stated in your service agreement or as required by applicable law.

BridgeUP Intellectual Property

We retain all rights, title, and interest in and to our Services, including the underlying software, AI models, automation workflows, system architecture, scripts, templates, methodologies, and all related documentation and intellectual property ("BridgeUP IP"). Nothing in these Terms transfers any ownership of BridgeUP IP to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use the BridgeUP IP solely for the purpose of using the Services during your active subscription term.

Client Intellectual Property

You retain all rights, title, and interest in and to your Client Content, including your customer lists, business data, and business-specific configurations. You grant us a limited, non-exclusive license to use your Client Content solely for the purpose of providing the Services to you.

Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

AI Performance Disclaimer

You acknowledge that artificial intelligence is a rapidly evolving field and that AI systems may occasionally produce incorrect, incomplete, unexpected, or contextually inappropriate outputs. BridgeUP makes no guarantee that AI-generated responses will be error-free or will always meet your expectations. You are responsible for monitoring the performance of the Services, reviewing AI-generated communications, and notifying us promptly of any issues or inaccuracies.

Call Recording

Our Voice AI and call management features may record telephone conversations. You are solely responsible for complying with all applicable federal and state call recording laws, including providing any required disclosures or obtaining any required consents from your customers prior to recording.

Third-Party Platform Dependency

The Services depend on the continued availability and proper functioning of third-party platforms, including GoHighLevel, Twilio, and AI model providers. We are not liable for any service interruptions, errors, pricing changes, policy changes, or failures caused by these third parties. In the event a critical third-party platform becomes unavailable, we will work in good faith to identify and implement an alternative solution.

"As-Is" Basis

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Information submitted through the Site and collected through the Services is used to provide, maintain, and improve the Services. We do not sell your personal information.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties other than the sub-processors required to deliver the message.

To the fullest extent permitted by applicable law, BridgeUP Systems, LLC and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Loss of profits, revenue, customers, or data.
• Business interruption or loss of business opportunity.
• Costs of procurement of substitute services.
• Damages arising from AI-generated communications that are inaccurate, inappropriate, or non-compliant.
• Damages arising from third-party platform outages or policy changes.
• Damages arising from your failure to obtain proper customer consent for communications.

In no event shall BridgeUP's total aggregate liability arising out of or related to these Terms exceed the total amount of fees paid by you to BridgeUP in the six (6) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless BridgeUP Systems, LLC and its officers, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Services or violation of these Terms.
• Your Client Content, including any claims of intellectual property infringement or data privacy violations.
• Your failure to obtain proper customer consent for automated communications, including any TCPA claims.
• Your violation of any applicable law or regulation in connection with your use of the Services.
• Any dispute between you and your end customers arising from communications sent through the Services.

Either party may terminate the service agreement for cause if the other party commits a material breach of these Terms and fails to cure such breach within thirty (30) days of receiving written notice describing the breach in reasonable detail.

BridgeUP may terminate or suspend your access to the Services immediately and without prior notice if you violate the Acceptable Use Policy in Section 2, fail to pay applicable fees, or engage in activity that poses a legal, security, or reputational risk to BridgeUP or its other clients.

Upon termination, your license to use the Services will immediately cease. We will cooperate in the transition of your data as outlined in our service agreement. You remain responsible for all fees accrued prior to termination.

You must be at least eighteen (18) years of age and have the legal authority to enter into binding contracts on behalf of yourself or your business to use our Services or submit a request through our Site.

By using this Site, submitting a request, or opting in to receive communications, you represent and warrant that you meet these eligibility requirements. We do not knowingly collect personal information from individuals under the age of 18. If we become aware that information has been submitted by a minor, we reserve the right to delete such information and terminate any associated account.

We reserve the right to update these Terms at any time to reflect changes in our Services, business practices, or applicable law. We will provide notice of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. For existing Clients, we will provide reasonable advance notice of material changes via email.

Your continued use of the Services after such changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and notify us of your intent to terminate.

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Houghton County, Michigan. You hereby consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days following written notice of the dispute.
