By submitting a request through our Site and providing your contact information, you consent to receive service-related communications from BridgeUP, which may include phone calls, emails, and text (SMS) messages such as onboarding information, system updates, and billing notices.
By using our Services, you represent and warrant that you have obtained all necessary consents and will comply with all communication laws. You agree to indemnify BridgeUP from any claims, damages, or liabilities arising from your failure to do so.
We retain all rights, title, and interest in and to our Services, including the underlying software, AI models, automation workflows, system architecture, scripts, templates, methodologies, and all related documentation and intellectual property ("BridgeUP IP"). Nothing in these Terms transfers any ownership of BridgeUP IP to you. We grant you a limited, non-exclusive, non-transferable, revocable license to use the BridgeUP IP solely for the purpose of using the Services during your active subscription term.
You retain all rights, title, and interest in and to your Client Content, including your customer lists, business data, and business-specific configurations. You grant us a limited, non-exclusive license to use your Client Content solely for the purpose of providing the Services to you.
If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
You acknowledge that artificial intelligence is a rapidly evolving field and that AI systems may occasionally produce incorrect, incomplete, unexpected, or contextually inappropriate outputs. BridgeUP makes no guarantee that AI-generated responses will be error-free or will always meet your expectations. You are responsible for monitoring the performance of the Services, reviewing AI-generated communications, and notifying us promptly of any issues or inaccuracies.
Our Voice AI and call management features may record telephone conversations. You are solely responsible for complying with all applicable federal and state call recording laws, including providing any required disclosures or obtaining any required consents from your customers prior to recording.
The Services depend on the continued availability and proper functioning of third-party platforms, including GoHighLevel, Twilio, and AI model providers. We are not liable for any service interruptions, errors, pricing changes, policy changes, or failures caused by these third parties. In the event a critical third-party platform becomes unavailable, we will work in good faith to identify and implement an alternative solution.
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Information submitted through the Site and collected through the Services is used to provide, maintain, and improve the Services. We do not sell your personal information.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties other than the sub-processors required to deliver the message.

In no event shall BridgeUP's total aggregate liability arising out of or related to these Terms exceed the total amount of fees paid by you to BridgeUP in the six (6) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless BridgeUP Systems, LLC and its officers, employees, contractors, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Either party may terminate the service agreement for cause if the other party commits a material breach of these Terms and fails to cure such breach within thirty (30) days of receiving written notice describing the breach in reasonable detail.
BridgeUP may terminate or suspend your access to the Services immediately and without prior notice if you violate the Acceptable Use Policy in Section 2, fail to pay applicable fees, or engage in activity that poses a legal, security, or reputational risk to BridgeUP or its other clients.
Upon termination, your license to use the Services will immediately cease. We will cooperate in the transition of your data as outlined in our service agreement. You remain responsible for all fees accrued prior to termination.
You must be at least eighteen (18) years of age and have the legal authority to enter into binding contracts on behalf of yourself or your business to use our Services or submit a request through our Site.
By using this Site, submitting a request, or opting in to receive communications, you represent and warrant that you meet these eligibility requirements. We do not knowingly collect personal information from individuals under the age of 18. If we become aware that information has been submitted by a minor, we reserve the right to delete such information and terminate any associated account.
We reserve the right to update these Terms at any time to reflect changes in our Services, business practices, or applicable law. For existing Clients, we will provide reasonable advance notice of material changes via email.
Your continued use of the Services after such changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and notify us of your intent to terminate.
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Houghton County, Michigan. You hereby consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days following written notice of the dispute.
